Terms of Service

Welcome to MooreBuild, a platform operated by Moore Build Co. ("we," "us," or "our"). By creating an account or using our Service, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old and authorized to enter into binding agreements. By using the Service, you represent that you meet these requirements.

2. Your Account

• You are responsible for maintaining the security of your account credentials.
• You must provide accurate and current information when registering.
• You are responsible for all activity under your account.
• You may not share your account credentials with unauthorized users. Additional users must be invited through the platform's invitation system.
• Notify us immediately of any unauthorized use or security breach.

3. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of applicable laws.
• Enter false, misleading, or fraudulent data, including fake payroll or billing records.
• Attempt to access data belonging to other tenants or users without authorization.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Use the Service to store or transmit malware, viruses, or harmful code.
• Resell, sublicense, or redistribute the Service without our written consent.

4. Subscriptions and Billing

• The Service is offered on a subscription basis with monthly recurring fees and optional one-time setup fees.
• Subscriptions auto-renew each billing cycle until cancelled through the Stripe billing portal.
• You authorize us to charge the recurring fees to your payment method through Stripe.
• Plan changes (upgrades or downgrades) take effect at the next billing cycle unless otherwise stated.
• Setup fees are non-refundable except as described in our Refund & Cancellation Policy.
• If a payment fails, we may retry the charge. Continued payment failures may result in account suspension.

5. Your Data

• You retain ownership of all business data you enter into the platform (employees, clients, projects, financial records, etc.).
• You grant us a limited license to process your data solely to provide and improve the Service.
• You are responsible for the accuracy and legality of the data you enter.
• You are responsible for obtaining consent from employees, clients, and subcontractors whose data you enter.
• We are not liable for data loss caused by your failure to maintain backups or by your deletion of records.

6. Intellectual Property

The Service, including its design, features, and branding, is owned by Moore Build Co. and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission. Content you upload remains your property.

7. Disclaimers

• The Service is provided "as is" and "as available" without warranties of any kind.
• We do not guarantee that the Service will be uninterrupted, error-free, or secure at all times.
• We are not a payroll provider, tax advisor, or legal advisor. Payroll and tax calculations generated by the Service are estimates and should be verified by a qualified professional.
• We are not responsible for business decisions made based on data from the Service.

8. Limitation of Liability

To the maximum extent permitted by law, Moore Build Co. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising from your use of or inability to use the Service. Our total liability shall not exceed the amount you paid in the three (3) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Moore Build Co. and its affiliates from claims, damages, and expenses arising from your use of the Service, your violation of these Terms, or your infringement of third-party rights.

10. Termination

• You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing cycle.
• We may suspend or terminate your account for violation of these Terms, non-payment, or fraudulent activity.
• Upon termination, your access to the Service ends. You may export your data before termination.
• After 30 days post-termination, we may delete your data unless legally required to retain it.

11. Governing Law

These Terms are governed by the laws of the State of Indiana, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Indiana.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance.
